Governance in the context of Corporate Governance as per OECD means the structure that specifies the distribution of rights and responsibilities among different participants in the organisation such as Board, Management, Shareholders and other Stakeholders; as well as prescribes the rules and procedures for corporate decision-making.

 

A well-defined Governance structure provides the pathway on which an organisation’s objectives are aligned along with the means of attaining those objectives as well as for monitoring performance.
