The Companies Act, 2013 has recognised that Company Secretary (CS) is a Key Managerial Person and also as responsible for all compliances. Role and responsibility of CS is not only expanding but also getting connected to and entangled with almost every function in the enterprise. Board and Regulators look at CS for all informational support, monitoring on behalf of the Board, reporting to the Board etc. In case of listed companies, NBFCs and companies having foreign funding, CS is looked up on as ‘in-house regulator’.
Clearly the job of CS is getting complicated and has grown beyond the physical limits of a single CS function. CS function today is vertical in an enterprise and requires an evolved departmental structure to be able to efficiently discharge the expected responsibilities.
